Thailand Supply Agreements: Terms Buyers Must Lock
Most sourcing failures with Thai manufacturers are not quality failures. They are contract gaps that only appear when volumes move, prices shift or you want to leave. This is the clause set first-world buyers should lock before the first production order.

Clauses that matter most
1. Price validity and indexing. State the currency, the validity window, and the formula for raw material moves — for example, a review when a named index moves more than 5%. Pair it with the FX approach in our currency and payment risk guide.
2. Tooling title and access. Tools you paid for are your assets. Require tagging, an annual asset list, maintenance obligations, and release within a defined number of days on request. Details in our tooling ownership and exit plan.
3. Intellectual property. Assign ownership of drawings, process improvements funded by you, moulds and firmware. Add a non-compete on your specific SKUs and a ban on selling overruns.
4. Quality and acceptance. Define the inspection standard (typically ISO 2859-1 AQL levels), who inspects, and what happens on failure — sort, rework, or reject at supplier cost. Reference your compliance document pack.
5. Change control. No change of sub-supplier, material, plant or process without written approval. This single clause prevents most field failures.
6. Capacity and lead time. Commit a monthly capacity ceiling and a lead time, with a remedy if missed. Link to your forecast process in the forecasting and safety stock guide.
7. Liability and recall. Cap liability sensibly but carve out recall costs, IP infringement and wilful misconduct. Require product liability insurance naming you as additional insured — see our product liability insurance guide.

9. Term, termination and transition. A 90-180 day exit runway: last-time-buy rights, tooling release, documentation handover, and support for a qualified second source.
Governing law and dispute resolution
Thai courts will hear disputes over a Thai defendant's assets regardless of what your contract says. Practical positions:
- Arbitration under SIAC (Singapore) or THAC (Bangkok) is faster and enforceable under the New York Convention, which Thailand has ratified.
- English-language originals with a Thai translation clause stating the English version prevails.
- Escalation ladder: commercial meeting, then mediation, then arbitration.
Avoid specifying your home court — a US or German judgment is not directly enforceable in Thailand and you will end up re-litigating.
